Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and FSNK Ventures LLC ("Company", "we", "us", or "our"), governing your access to and use of the Hawk Send platform, API, dashboard, and related services available at https://www.hawksend.com.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use Hawk Send.

2. Description of Services

Hawk Send provides a WhatsApp Business API platform that enables you to:

  • Send and receive WhatsApp messages (text, templates, images, documents) via our REST API.
  • Send and verify one-time passwords (OTP) for user authentication.
  • Connect your own WhatsApp Business Account (WABA) via Meta Embedded Signup.
  • Receive real-time delivery status updates via webhooks.
  • Monitor usage, manage API keys, and configure integrations through our dashboard.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You must verify your email address before accessing the platform.
  • You are responsible for maintaining the confidentiality of your account credentials and API keys.
  • You must be at least 18 years of age and have the legal authority to bind your organization to these Terms.
  • One account per business entity. Multiple accounts for the same business require prior written approval.

4. Acceptable Use

You agree not to use Hawk Send to:

  • Send unsolicited messages (spam), including bulk marketing without recipient consent.
  • Transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Violate Meta's WhatsApp Business Policy, Commerce Policy, or any applicable Meta platform terms.
  • Attempt to circumvent rate limits, quotas, or security measures.
  • Use the service for phishing, fraud, or distributing malware.
  • Reverse engineer, decompile, or attempt to extract the source code of our platform.
  • Resell or redistribute API access without a written reseller agreement.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

5. API Keys and Security

  • API keys are generated for your account and grant programmatic access to our services.
  • You are solely responsible for securing your API keys. Do not expose them in client-side code, public repositories, or logs.
  • If you suspect an API key has been compromised, revoke it immediately via the dashboard and generate a new one.
  • We are not liable for unauthorized usage resulting from compromised API keys on your end.

6. Pricing and Payment

  • Hawk Send offers tiered subscription plans (Free, Starter, Growth, Enterprise) with varying message limits and features.
  • Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize recurring charges.
  • Prices are in USD and do not include applicable taxes, which are your responsibility.
  • You may upgrade, downgrade, or cancel your plan at any time through the dashboard.
  • Cancellations take effect at the end of the current billing period. No prorated refunds are provided for partial months.
  • We reserve the right to modify pricing with 30 days' notice via email.

7. Service Level and Availability

  • We target 99.9% uptime for the Hawk Send API but do not guarantee uninterrupted service.
  • Message delivery depends on Meta's WhatsApp Cloud API and recipient network availability, which are outside our control.
  • Scheduled maintenance will be communicated in advance when possible.
  • Enterprise customers may negotiate custom SLAs under a separate agreement.

8. Intellectual Property

  • The Hawk Send platform, including its code, design, documentation, and trademarks, is the property of FSNK Ventures LLC.
  • You retain ownership of all content and data you transmit through our platform.
  • You grant us a limited license to process your data solely for the purpose of providing the service.

9. Limitation of Liability

To the maximum extent permitted by law, FSNK Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of Hawk Send.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FSNK Ventures LLC, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights, including Meta's platform policies.

11. Termination

  • You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard.
  • We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.
  • Upon termination, your access to the platform ceases immediately and your data will be handled per our Data Deletion Policy.

12. Third-Party Services

Hawk Send integrates with third-party services including Meta Platforms (WhatsApp Cloud API) and Stripe. Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the dashboard. Continued use of Hawk Send after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Delaware.
